Job Overview
We are seeking an experienced and highly skilled Senior Associate to join our team. The successful candidate will be responsible for providing comprehensive legal support, including advisory and counsel, managing legal operations, and offering strategic advice, particularly in the areas of mergers and acquisitions (M&A), Commercial Contracting, Real Estate and Employment Law. This role demands a deep understanding of among others corporate law and contract law, exceptional analytical abilities, and the capability to provide strategic guidance on complex legal issues.
Key Responsibilities
Advisory & Counsel
- Legal Research & Analysis: Conduct in-depth legal research on complex matters, providing expert analysis and interpretation of laws and regulations.
- Contract Review & Drafting: Lead the drafting, review, and negotiation of high-stakes legal documents, including contracts, agreements, and other corporate documentation.
- Risk Management: Identify and assess legal risks associated with business operations and transactions, advising on strategies to mitigate these risks effectively.
- Regulatory Compliance: Ensure the client company complies with all relevant legal and regulatory requirements, advising on best practices and changes in the legal landscape.
- Advisory Role: Serve as a trusted legal advisor to client company’s senior management and business units, offering counsel on a wide range of legal issues and strategic initiatives.
M&A Advisory & Strategic Advice
- M&A Transactions: Provide legal support for mergers, acquisitions, divestitures, and joint ventures, including due diligence, contract negotiation, and transaction structuring.
- Strategic Counsel: Offer strategic legal advice on corporate governance, business strategy, and potential acquisitions, ensuring alignment with the client company’s long-term objectives.
- Deal Execution: Collaborate with cross-functional teams to execute M&A transactions, ensuring all legal aspects are addressed and risks are mitigated.
- Post-Merger Integration: Support the integration process post-merger or acquisition, addressing any legal issues that arise and ensuring a smooth transition.
Legal Operations
- Process Optimization: Develop and implement processes to enhance the efficiency of the legal functions of the client company, including document management, workflow automation, and reporting systems.
- Legal Operations Management: Oversee the operational aspects of the client company’s legal department, including budgeting, resource allocation, and vendor management.
- Technology Integration: Leverage legal tech solutions to streamline operations, improve data management, and enhance overall departmental performance.
- Training & Development: Lead the development and delivery of legal training programs for client company’s employees, ensuring they are well-informed about legal and compliance matters.
- Project Leadership: Manage and lead complex legal projects from inception to completion, ensuring alignment with business goals.
Collaboration & Communication
- Cross-Department Collaboration: Work closely with other departments within the client company such as Finance, HR, Compliance, and Operations to provide integrated legal support.
- External Relations: Liaise with external counsel, regulatory authorities, and other third parties as necessary to support complex legal matters.
- Stakeholder Reporting: Prepare and present detailed reports and legal analyses to client company’s senior management and stakeholders, offering clear and actionable insights.
Qualifications
- Education: Bachelor’s degree in Law (LLB) required; advanced legal degree (LLM or equivalent) or relevant certifications in M&A or corporate law preferred.
- Experience: 5-8 years of experience in a legal role, with a strong focus on corporate law, M&A, and legal operations. In-house counsel experience is highly desirable.
